Director, Legal Affairs, Capital

Location : Flexible any SNC Lavalin office within Canada

As a member of the SNC-Lavalin, Capital legal department, your prime role will be to provide legal support to the Capital through development of projects involving a financing component, as well as to SNC-Lavalin, Capital Asset Management team. You will be working closely with the various SNC-Lavalin Sectors in different type of transactions with a focus on P3/DBFM and project finance transactions. More specifically, you will collaborate to provide legal advice relating to structuring equity and financing which may include engineering, operation and maintenance and financing legal support. You will also be involved in asset management, including legal support to contractual management and to sale and divestiture transactions. Finally, you will also be part of the broader SNC-Lavalin corporate legal team and may be called from time to time to support various corporate and sector projects, transactions and initiatives. 

Responsibilities:

  • Prepare and revise contracts and other relevant legal documentation
  • Provide legal advice and contribute to analyses of commercial issues
  • Participate in the negotiations between the SNC-Lavalin entities and its clients and partners
  • Participate in SNC-Lavalin, Capital transactions in connection with public-private partnership, project financing, investments, acquisitions, divestitures and business development. More specifically, among other things you will provide legal support during P3/DBFM bidding processes which may include the following aspects:
  • Arrange and coordinate issues with partners, other internal SNC-Lavalin legal and corporate departments and external legal consultants
  • Analyze procurement documents (i.e. RFQs and RFPs)
  • Prepare Teaming Agreements, MOUs, etc. with partners and subcontractors
  • Inspect and/or negotiate documents relating to the structuring of equity and project financing to protect SNC-Lavalin, Capital’s investments
  • Prepare final Shareholder/Partnership Agreements
  • Prepare and review all financing and credit agreements
  • Prepare and review internal corporate requirements and authorization with the SNC-Lavalin Group corporate legal department
  • Participate in the preparation of the legal documentation related to the day to day management of the various operating entities. More specifically, support asset management activity (i.e. investments, acquisitions, and divestitures) including:
  • Ensure compliance of assets under management with law, regulations and SPV and/or SNC-Lavalin applicable policies;
  • Maintain corporate records as necessary for investments;
  • Provide counsel to operation as issues arise;
  • Provide legal support to the SNC-Lavalin Infrastructure Fund
  • Interpret laws, decrees and any other documents of a legal nature, ensuring that the interests of the Company are adequately protected
  • Provide legal advice and contribute to analyses relating to corporate governance issues
  • Work closely with internal clients, engineers and management in order to maximize negotiations and minimize corporate risk
  • Also, if and when required, and depending on level of activities at the SNC-Lavalin, Capital level, provide support to the SNC-Lavalin corporate legal department or to other SNC Sectors legal department
  • As a member of the SNC-Lavalin, Capital legal team, you shall also provide support to the management and monitoring of Ethics and Compliance matters, including compliance with SNC-Lavalin Code of Ethics and Business Conduct and SNC-Lavalin’s internal Ethics and Compliance policies as well as Ethics and Compliance matters at the investment level.

Requirements:

  • Member of the Quebec Bar or member of any other Canadian Bar or equivalent
  • Experience in Securities Law, M&A transactions, project financing and in public-private partnership projects transactions is a strong asset
  • Demonstrable availability to travel across North America and outside the continent if required by the duties of the position from time to time
  • Proven ability to work as part of a team in a multidisciplinary environment
  • Highly developed business sense
  • A good communicator with a methodical, flexible and dynamic approach
